Netflix set for $83b takeover of Warner Bros Discovery

Netflix’s USD 82.7bn bid to acquire Warner Bros Discovery promises a global entertainment giant, but must clear tough US regulatory hurdles amid concerns over market dominance.

Netflix has announced a stunning move to acquire Warner Bros Discovery (WBD) in a deal worth about USD 82.7 billion — a takeover that would reshape the global entertainment landscape and create one of the most powerful media empires in history. The proposed acquisition, revealed late on Friday, will undergo intense scrutiny from US anti-trust regulators given the combined scale, reach and influence of the two companies across film, television and streaming.

In a statement, Netflix said the merger would fuse its “innovation, global reach and best-in-class streaming service” with Warner Bros’ iconic century-long legacy of filmmaking and storytelling. The move would unite two titans: a digital-age streaming pioneer and a studio responsible for some of cinema’s most enduring classics.

WBD CEO David Zaslav hailed the agreement as a way to preserve storytelling excellence for generations, saying, “By coming together with Netflix, we will ensure people everywhere will continue to enjoy the world’s most resonant stories.” The merger would also give Netflix control over some of the most prized assets in modern entertainment, including HBO Max, DC Studios, and Warner Bros’ legendary film archive.

As part of the deal, WBD will spin off its cable networks — including CNN, TNT and Discovery — to streamline operations before regulatory review begins. Netflix reportedly beat out major rivals, including Comcast and Paramount, by offering USD 27.75 per share to secure the acquisition.

Both companies have a strong foothold in India, where Netflix has about 12.4 million subscribers — its seventh-largest market — and where Warner Bros has distributed films and recently partnered with Bhanushali Studios Limited and JOAT Films to create Indian adaptations of its titles.

The merger promises Netflix access to Warner’s century-old vault, including timeless works such as Casablanca, The Maltese Falcon, Bonnie and Clyde, Chariots of Fire, and The Wizard of Oz. Combined with HBO’s prestige programming, the vast DC superhero universe, and Warner Bros’ expansive production infrastructure, the acquisition could give Netflix unprecedented dominance in global content creation.

Netflix, which started as a postal DVD rental service before transforming into a global streaming leader, now stands on the brink of becoming the world’s most influential entertainment conglomerate. Still, the deal faces a long regulatory road, with US officials likely to weigh concerns about consolidation, competition, and consumer impact before granting approval.

If cleared, the acquisition would mark one of the most consequential shifts in the entertainment industry since the rise of streaming itself — placing Netflix at the helm of an unrivalled universe of stories, brands and creative power.
